The Details

3 BEARS COLLECTIVE ARTIST CONTRACT

This Agreement ("Agreement") is made and entered into on [Date], between 3 Bears Collective (“3BC”), www.3bearscollective.com, and [Artist Name] ("Artist"), [Artist Email Address].

1. Representation:

"Artist" hereby grants 3 Bears Collective the exclusive right to display, promote, and sell "Artist"'s artwork in printed form and as original art on 3 Bears Collective's online platform for the duration of this Agreement.

2. Artwork:

"Artist" agrees to provide 3 Bears Collective with high-resolution digital files of the artwork suitable for printing, as well as information and descriptions necessary for the marketing and sale of the artwork. "Artist" retains ownership and copyright of all artwork.

In the event that “Artist” does not have digital copies of their art, 3BearsCollective will digitize their art, for a fee which is agreed to in person. In this event, the files will be sent to [Artist Email Address], or uploaded to an internet cloud service (like DropBox) to be available to the “Artist”.

The 3BC Watermark will be put on images to be displayed online, in apparel tags and packaging, but not on the printed artwork sent to the customer.

3. Sales and Payments:

a. 3 Bears Collective agrees to pay “Artist” a predetermined percentage of the gross sales price for each artwork sold through 3 Bears Collective's platform, not including the shipping fee. Each Item for sale will be logged in the Artist Portfolio Inventory, attached to this document and this is where the distribution of funds will be made specific.

b. Payments to "Artist" shall be made immediately following the completion of each sale. Payments will be made via PayPal and the Ko-fi (ko-fi.com) service, unless otherwise agreed upon in writing.

c. 3 Bears Collective shall provide "Artist" with a sales report detailing the artwork sold, sale price, and "Artist"'s share of the proceeds.

4. Copyright and Intellectual Property:

a. “Artist” warrants that they are the sole creator and owner of the artwork provided to 3 Bears Collective and that the artwork does not infringe upon the copyright or intellectual property rights of any third party.

b. "Artist" retains all copyright and intellectual property rights to the artwork, including the right to reproduce, distribute, and display the artwork for their own promotional purposes.

c. 3 Bears Collective agrees not to reproduce, distribute, or display the artwork for any purpose other than the promotion and sale of the artwork without the prior written consent of "Artist".

5. Drop Shipping Model:

a. 3 Bears Collective will utilize a drop shipping model for the sale of artwork, where the artwork is shipped directly from the manufacturer or printing service to the customer.

b. 3 Bears Collective shall ensure that all orders are processed and fulfilled promptly and that "Artist" is promptly notified of each sale.

6. Shipping and Handling:

a. 3 Bears Collective shall be responsible for packaging and shipping the artwork to the customer in a safe and secure manner.

b. 3 Bears Collective shall use appropriate packaging materials and shipping methods to ensure the artwork arrives at its destination without damage.

c. "Artist" shall not be held liable for any damage or loss incurred during shipping, unless such damage or loss is the result of "Artist"'s negligence in packaging the artwork for shipment.

7. Term and Termination:

a. This Agreement shall commence on [Date] and shall remain in effect until either party terminates the Agreement.

b. Either party may terminate this Agreement at any time, with written notice to the other party for any reason.

c. Upon termination, 3 Bears Collective shall cease all sales and marketing activities related to "Artist"'s artwork and shall promptly settle any outstanding payments owed to "Artist".

d. If needed, accommodations will be made to ensure that “Artist” can download any files of which they have ownership.

8. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Taos County. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Taos County.

9. Entire Agreement:

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral, relating to such subject matter.
